EXPRESS FORMATION:

Express company formation service allows customers to form companies within 8 working hours. This service costs £25.

REGISTERED ADDRESS:

Registered office address is a mandatory requirement to establish a UK Limited company. A registered address is a valid postal address within the UK i.e. England , Scotland or Wales . If you take advantage of Company 4 Less Registered Address, all of the official correspondence from Companies House sent to the registered address, will be forwarded to you anywhere in the world, at no additional cost other than the cost of postage stamps.

Subscribing to the registered address service would allow you to receive mail from Companies House only. This service can not be used to receive mail from clients or any other third parties.

The cost of this service is £25 per annum (if used with the company formation service) and £75 per annum (if used independent of the company formation service). It takes 2 to 3 days to get this service ready.

Also when company is NOT formed through Company 4 Less, you will need to purchase the Registered Address service in combination with the online company administrator service (enables maintenance of an electronic record of your company in the Company 4 Less and Companies House records simultaneously). The cost will then become £50 per annum (for Registered address) + £25 per annum (Online company administrator) = £75.

The following documents and information are also required:

  • Copy of the certificate of registration (word document or PDF file)
  • Articles and memorandum of association (word document or PDF file)
  • Existing Registered address
  • Name, address, date of birth, gender, nationality of company director
  • Name, address, date of birth, gender, nationality of company secretary
  • Name, address, date of birth, gender, nationality of company shareholders and the number of shares held by each of the shareholders
  • Share allocation structure i.e. share currency, total number of shares, value per share and total share capital.

NOMINEE SECRETARY:

A company secretary is a mandatory requirement to establish a UK Limited company. Company 4 Less provides this service for the clients who are unable to fulfill the statutory requirement of appointing a company secretary. The Nominee secretary is only meant to fulfill the legal requirements. It does not perform any secretarial duties, and does not become involved with operations of the company in any way. The nominee secretary, however, signs bank account opening form. This is an extra service, performed for a £5 administrative fee.

The cost is £25 per annum (if used with company formation service) or £125 per annum (if used independent of company formation). It takes 2 to 3 days to get this service ready.

When company is NOT formed through Company 4 Less, you will need to purchase the Nominee Secretary Service in combination with the Registered Address service and online company administrator service (enables maintenance of an electronic record of your company in the Company 4 Less and Companies House records simultaneously). The cost will then be:

  • Nominee Secretary £50 per annum
  • Registered address £50 per annum
  • Online company administrator £25 per annum

You will also need to provide the following documents and information:

  • Copy of the certificate of registration (word document or PDF file)
  • Articles and memorandum of association (word document or PDF file)
  • Existing Registered address
  • Name, address, date of birth, gender, nationality of company director
  • Name, address, date of birth, gender, nationality of company secretary

A Nominee Director is used to maintain beneficial owner's anonymity and confidentiality from public disclosure requirements in the UK and other jurisdictions. It is a legal device which preserves the privacy of an individual, and it is designed to help people who do not wish to disclose their interest or association with a company.

This service costs £400 per year and takes approx 4-6 days.

NOMINEE SHAREHOLDER:

A Nominee shareholder is normally a company or person that holds shares on behalf of the investors. The Nominee shareholder is not the legal owner of the shares and the underlying investors are entitled to all income and capital gains on the shares. The Nominee Shareholder Service serves the purpose of ensuring that your identity as the Beneficial Owner(s), remains confidential and not put on public record at the Company's Registry.

The Nominee Shareholder normally holds your shares and a signed Stock Transfer Form is issued to you, so that you can have the security of being able to transfer the shares at any time.

The cost of this service is £25 per year (for UK companies) or £200 per year (for offshore companies).

A preference share is a special type of share that entitles the holder to preferential treatment in the payment of dividends. Preference dividends must be paid before ordinary dividends. Preference shares therefore carry less risk than ordinary shares. We provide the service of allotment of preference shares.

This service costs £25 and it takes 6 to 7 days to get this service ready.

DOMAIN NAME REGISTRATION:

A domain is a unique name that identifies an Internet site. Domain Names always have at least two parts, which are separated by dots (for instance google.com). The part on the left is specific whereas the part on the right is more general.

Company 4 Less provides a domain name registration service, which costs £10 and is ready within 24 hours of the receipt of order and payment. The following details are required for this service:

  • Preferred domain name
  • Preferred alternate names (if the first name is not available)

Company 4 Less forms companies with standard Memorandum of Association and Articles of Association. The customers also have the option of using their own customized Memorandum of Association and Articles of Association

This service costs £25 and you need to provide your own customized Memorandum of Association and Articles of Association.

CERTIFICATE OF GOOD STANDING:

A Certificate of Good Standing is usually issued by the Registrar of Companies stating that According to the documents on the file of the company in the custody of the Registrar of Companies, the company has been in continuous and unbroken existence since the date of its registration. No action is currently being taken by the Registrar of Companies for striking the company off the register and dissolving it as defunct, and as far as the Registrar is aware:

a) The company is not in liquidation or subject to an administration     order, and

b) No receiver or manager of the company's property has been     appointed.

It may also include details of the Directors, Company Secretary and the Registered Office address.

A Certificate of Good Standing is often required by lenders in connection with application for loan or government grants. However, a Certificate of Good Standing cannot be used as an evidence of the financial situation of the business.

This service costs £50 ( UK companies) and is ready in 4 – 5 days or £125 (Offshore companies) and is ready in 7 to 10 days. The following information is required:

Company 4 Less on-line company administration service would enable you to update your company information online, and this information is submitted to Companies House at the same time, in accordance with statutory requirements. This service allows you to perform the following essential modifications and updates (It is mandatory to notify Companies house of these changes):

  • Change of Registered Office Address
  • Appointment of Director or Secretary
  • Appointment of Corporate Director or Secretary
  • Termination of Appointment of Director or Secretary
  • Change of details of Director or Secretary

CHANGE OF COMPANY NAME:

It is possible to change a company's name after registration. The name may be changed voluntarily, according to business requirements. Additionally, if a name is registered that is too similar to the name of another company already on the index, and an objection is made, then the Secretary of State may direct the company formed latter to change its name.

Company 4 Less provides this service at only £25 (for UK companies) or £125 (for Offshore companies). The time required time period is 5 to 7 days (for UK companies) and 10 to 14 days (for Offshore companies).

This is a documentary device by which a government department, usually the State Department, Justice Ministry or Foreign Ministry, authenticates a document as genuine, thereby legalizing it for use in another member country. Once a document has been Apostilled, thereby providing official government authentication of the signatures and stamps appearing on it, it is automatically deemed legalized for use in another country.

A Copyright is a protection that covers published and unpublished literary, scientific and artistic works, whatever the form of expression, provided such works are fixed in a tangible or material form. Copyright laws grant the creator the exclusive right to reproduce, prepare derivative works, distribute, perform and display the work publicly. Exclusive means only the creator of such work, not anybody who has access to it and decides to grab it.

A 'branch' is part of an overseas limited company organized to conduct business through local representatives in Great Britain rather than referring it abroad. Following are the requirements for branch office registration:

  • The parent company should be registered outside the UK
  • The parent company should be a limited company

DORMANCY APPLICATION:

The term 'dormant' applies to a company that, in legal terms, has 'no significant accounting transactions' during a financial year. It is not the same as a 'non-trading company', a term that has no legal meaning. No significant accounting transactions means zero entries in the company's accounting records. The amount paid for shares when the company is first formed and a few costs that the company may incur in order to keep the company registered at Companies House do not count as significant accounting transactions.

Dormant companies have to submit the following documents:

  • Annual tax returns (Companies house-copy to Inland Revenue): this will be an abbreviated return.
  • Annual Return (Companies House): An annual return contains certain company information up to the made-up date. It is separate from a company's annual accounts.
  • Company Accounts (includes: balance sheet, profit and loss account, notes to the accounts, director's declaration, stating that all that is there has been stated and is in compliance with requirements)

If there are any changes in share structure, personnel or financial status of the company, then the relevant documents must also be submitted to Companies House.

The cost of this service is £75 and it takes approximately 10 – 14 working days for the process to be completed. Company 4 Less requires the following details to proceed with your order:

ACCOUNTING SERVICE FOR DORMANT COMPANIES:

A dormant company is a company that, in legal terms, has no significant accounting transactions during a financial year. Dormant companies have to submit annual tax returns and annual Accounts. Company 4 Less offers accounting services to active companies as well as dormant companies.

The service costs £300 for the first year and from 2nd year onwards £75/annum. It takes 3 to 4 days to get this service ready and the following details are required:

MEETING ROOM:

Company 4 Less offers meeting rooms for rental. These meeting rooms are equipped with state-of-the-art audio-visual equipment and all of the necessary facilities.

The cost of renting the Meeting Rooms is £25/hour and you need to kindly inform at least 1 week before you want to rent a meeting room, as they are subject to availability.

VIDEO CONFERENCING:

A videoconference is a live connection between people in separate locations for the purpose of communication, usually involving audio and often text as well as video. Videoconferencing provides a complete simulation of a normal meeting environment, enabling both parties to see, hear and present material, just as if they were in the same room.

The cost of this state-of-the-art video conferencing facility is £150 per hour + the cost for outgoing phone calls (£200 on weekends). Kindly inform at least 1 week before you want to rent the video conferencing facilities, as they are subject to availability.
